Terms and Conditions for Companies (non-consumer clients)


§ I. General Provisions

  1. The entity operating the cosmetic wholesaler under the internet domain excellentpro.pl, hereinafter referred to as the "Cosmetic Wholesaler", is Gurgul Investment sp. z o.o., ul. Polna 3, 44-285 Kobyla, NIP: 6392018818, REGON: 384767161, registered in the National Court Register under number KRS: 0000812023.

  3. The Terms and Conditions define the rights and obligations of the Clients as well as the rights and obligations of the Seller as the entity managing and operating the Cosmetic Wholesaler.
  4. The Cosmetic Wholesaler excellentpro.pl offers wholesale sales for professional entities and fulfills custom orders via the internet. The Cosmetic Wholesaler is a specialized store.
  5. The Terms and Conditions are available in the Polish language version.
  6. Clients are obliged to observe the proprietary copyrights as well as the rights resulting from the registration of inventions, patents, trademarks, utility models, and industrial designs.
  7. The owner of excellentpro.pl undertakes to process the personal data of the wholesaler's clients safely, exclusively for the purpose of reliable performance of the distance sales contract. The Privacy Policy is available HERE, provided during the ordering process, and sent each time in an email along with the order confirmation.

§ II. Definitions

Terms used in the Terms and Conditions mean as follows:

  1. Cosmetic Wholesaler – the online store operating under the address excellentpro.pl, selling products listed in its offer.
  2. Owner – Gurgul Investment sp. z o.o., ul. Polna 3, 44-285 Kobyla, NIP: 6392018818, REGON: 384767161, KRS: 0000812023.
  3. Client – any entity making a purchase in the Cosmetic Wholesaler in accordance with the content of these Terms and Conditions.
  4. Client Account – a field containing data on conducted transactions and an instrument for processing orders placed by the Client.
  5. Entrepreneur – a natural person, legal person, or an entity without legal personality, performing a legal action in its own name within the scope of business or professional activity.
  6. Working Days – days of the week from Monday to Friday, excluding public holidays.
  7. Terms and Conditions – this document, which defines the terms and conditions of using the Cosmetic Wholesaler and purchasing products from it.

§ III. Technical Conditions for Using the Online Cosmetic Wholesaler excellentpro.pl

  1. To use the Online Cosmetic Wholesaler, the Client should have:
    • a device transmitting teleinformation data;
    • internet access;
    • an email address.
  2. The Cosmetic Wholesaler collects information contained in cookies, which are text files. These files do not retain any personal data and are used anonymously to evaluate real interest in the website on the store's pages. Cookies are used to exchange information between the Cosmetic Wholesaler and the User, which greatly facilitates the adjustment of the offer to the expectations and preferences of each User of the Cosmetic Wholesaler. The Client decides on the use of cookies. Internet browsers often default to allow the installation of these files on the Client's end device, which can be changed at any time.
  3. The Cosmetic Wholesaler informs that the Client's disabling of the use of cookies may affect the functionalities available in the Cosmetic Wholesaler.

§ IV. Registration and Login

  1. To create a "Client Account", the Client registers by providing a login, email address, VAT number, and password using the form.
  2. The Cosmetic Wholesaler may verify the data provided by the User. If the User does not pass the verification, they will not be able to place an order.
  3. The password provided when logging into the Cosmetic Wholesaler can consist of letters, numbers, and/or special characters. The password is individual for each user and can be changed on the site by providing an email address and a new password.
  4. Creating a "Client Account" is free of charge.
  5. Registration is a condition for placing an order in the Cosmetic Wholesaler.
  6. The Client undertakes to provide true data.
  7. The Client cannot transfer the access password to the account in the Online Cosmetic Wholesaler to third parties.
  8. Registered Clients can:
    • access the status and history of orders;
    • receive individual discounts and promotional coupons;
    • be informed about the possibility of participating in promotions and contests;
    • order a Product,
    • change their data;
    • change their password;
    • check their orders;
    • completely delete their account.
  9. After registration, the Client will receive a link to the website to activate the account to the provided email address.
  10. Activation enables login to the system.
  11. The Client cannot copy, modify, or distribute content, photos, logos without prior consent from the authorized person.

§ V. Order Fulfillment

  1. The Cosmetic Wholesaler operates 24 hours a day, 7 days a week, allowing the Client to place an order at any time. The Client can also place an order in person at the headquarters during opening hours.
  2. Placing a specific product with its price on the Cosmetic Wholesaler's website does not constitute an offer for its sale but an invitation for Buyers to submit offers.
  3. The order is placed by the Buyer in electronic form and constitutes an offer to conclude a sales contract for the product listed on the Cosmetic Wholesaler's website at the specified price. The offer submitted electronically binds the Buyer if the Cosmetic Wholesaler confirms its receipt after prior verification of product availability.
  4. The Cosmetic Wholesaler confirms the receipt of the order by email, sent to the Buyer. The message contains the proposed content of the sales contract, in particular: the order number and date, details of the purchased product, price and payment method, parties' data, place, method, and delivery cost.
  5. If the proposed content of the sales contract does not comply with the order placed by the Buyer, the Buyer should immediately notify the Cosmetic Wholesaler by sending an email indicating the discrepancies noticed. The Cosmetic Wholesaler will promptly send the Buyer a corrected proposed contract.
  6. The Cosmetic Wholesaler confirms the acceptance of the order for fulfillment by sending another email to the Buyer. Upon receipt of this message by the Buyer, the sales contract is concluded.
  7. After placing a purchase offer through the online system, the availability of products is checked, and the individual price of each product is determined depending on the quantity of the ordered goods and the total amount, including previous discounts. The Client receives a Pro-Forma invoice, and after its acceptance, a purchase-sale agreement is concluded.
  8. The sold product is accompanied by a warranty card from the manufacturer, importer, or distributor, if the manufacturer, importer, or distributor provides a warranty based on a written warranty card.
  9. The Client places an order in the following way:
    • selecting products by adding them to the cart;
    • providing data in the registration form or logging in, and delivery form;
    • choosing the delivery and payment method;
    • confirming the order
    • sending an order confirmation to the Client's email address;
    • the order placed electronically will be confirmed no later than within 5 working days from receipt of the order. Confirmation will be sent by email or by phone.
  10. Registered Clients can track the status of order fulfillment.
  11. The Cosmetic Wholesaler allows the possibility of personal pickup at the company's headquarters.

§ VI. Payment Methods

  1. The Client can pay for the ordered goods in the following ways:
    • bank transfer;
    • cash on delivery.
  2. The User is obliged to provide true data for the VAT invoice.

§ VII. Delivery

  1. The Client chooses the type of delivery available on the Cosmetic Wholesaler's website, which includes:
    • courier;
  2. The delivery time is up to 7 working days from the moment of receiving the payment unless the delivery time is agreed upon individually. In case of exceeding the delivery time mentioned above, the Client has the right to set an additional time for the seller. If the goods are still not delivered, the Buyer may withdraw from the contract.
  3. Deliveries are made on working days, from Monday to Friday. No deliveries are made on weekends and public holidays.
  4. The time for fulfilling special orders (goods ordered at the client's request, packaging goods in packaging chosen by the client, ordering goods with individual label or packaging design under the client's brand) is individually determined.
  5. The seller is responsible for the risk of accidental loss or damage to the goods until the Client receives them unless the Client chose a delivery method other than those offered by the Cosmetic Wholesaler.
  6. Upon receiving the shipment, the Buyer has the opportunity to check the goods and, in case of any damage, write a report in the presence of the courier. Writing the report is not a condition for submitting a complaint or exercising the right to withdraw from the contract.
  7. Goods are delivered within Poland and worldwide.

§ VIII. Principles of Processing Buyers' Personal Data

  1. Detailed principles of processing personal data of Buyers - natural persons are specified in the "Privacy Policy", which is Annex No. 2 to these Terms and Conditions.

§ IX. Other

  1. The Terms and Conditions are available at excellentpro.pl/webpage/regulamin.html.
  2. The Client has the possibility to read, download the content of the regulations to their Device, and print the document.
  3. If any of the provisions of these Terms and Conditions is found to be unlawful, invalid, or otherwise unenforceable to the extent provided by law, it is excluded in this respect. In the remaining scope, the Terms and Conditions remain in force.
  4. The Cosmetic Wholesaler will change the provisions of the Terms and Conditions for important reasons after informing the Clients by publishing the unified text of the Terms and Conditions on the pages of the online Cosmetic Wholesaler and sending its content to the email address provided by the Client. The changed or modified regulations are binding, after fulfilling other conditions provided by law, only for legal relations formed after the changes or modifications come into force.
  5. Changes to the Terms and Conditions will not in any way violate the acquired rights of Clients using the Online Cosmetic Wholesaler before the date the changes come into force.
  6. If the buyer is an entrepreneur, all disputes arising on the basis of the Terms and Conditions or sales contracts will be resolved amicably by the Arbitration Court or the Common Court competent for the Owner's seat.
  7. If the buyer is NOT a consumer, the liability of the Online Cosmetic Wholesaler under the warranty is excluded.
